Sumqo Terms and Conditions (Terms of Service)
Effective date: October 21, 2026 · Version 2026-10-21
These Terms and Conditions (the "Terms") govern your access to and use of the Sumqo cloud accounting and bookkeeping software, related websites, applications, portals, and services (collectively, the "Service"). The Service is operated by Vifros Corp, a Florida corporation ("Vifros Corp," "we," "us," or "our"). "Sumqo" is a product and brand of Vifros Corp (Vifros Corp d/b/a Sumqo). "You," "Customer," and "your" refer to the business, organization, or individual entering into these Terms and, where applicable, the person accepting these Terms on that entity's behalf.
PLEASE READ THESE TERMS CAREFULLY. THEY CONTAIN A BETA / EARLY-ACCESS NOTICE, IMPORTANT DISCLAIMERS, A LIMITATION OF LIABILITY, AND A BINDING ARBITRATION PROVISION WITH A CLASS-ACTION WAIVER THAT AFFECT YOUR LEGAL RIGHTS.
1. Acceptance of Terms
By accessing or using the Service, by clicking to accept these Terms, or by registering for an account or creating a workspace, you agree to be bound by these Terms and by any policies referenced herein, including our Privacy Policy. If you do not agree to these Terms, you must not access or use the Service. If you are accepting these Terms on behalf of a business or other legal entity, you represent and warrant that you have the authority to bind that entity, and "you" refers to that entity. We record the version of these Terms you accepted, the date and time of acceptance, and the email address of the accepting user.
2. Eligibility and Permitted Use
The Service is designed for business and professional bookkeeping. It may be used by companies, sole proprietors, independent contractors, freelancers, and individuals who keep records of their own business, self-employment, rental, investment, or tax affairs, including through a personal workspace. The Service is not intended for use as a consumer financial product, and nothing in the Service constitutes financial, investment, or credit advice. To use the Service, you must be at least eighteen (18) years of age and capable of forming a binding contract. By using the Service, you represent and warrant that you meet these eligibility requirements and that all registration information you provide is accurate and complete.
3. Beta / Early-Access Program
Sumqo is currently offered as a beta (early-access) service. This means that features are still being developed, may change, may be added or removed, and may occasionally contain errors, interruptions, or defects. During the beta phase:
- You use the Service at your own risk and acknowledge that it may not perform as expected at all times;
- You are responsible for keeping your own copies of important records (for example by using the export and backup features of the Service) and for verifying every figure before relying on it;
- We may change, suspend, or discontinue any feature, plan, or the beta program itself with reasonable notice where practicable;
- Any feedback you give us about the beta may be used to improve the Service without obligation to you (see Section 16); and
- The disclaimers and limitations in Sections 10, 11 and 12 apply in full to the beta; they do not reduce your billing rights under Section 8 and the Subscription and Billing Terms (clear terms before you pay, cancelling online, price-change notice).
At registration you are asked to acknowledge this notice separately from your acceptance of these Terms. We record the version of the notice you acknowledged and when. We will let you know through the Service when Sumqo leaves the beta phase.
4. Account Registration and Security
To access certain features, you must register for an account and may designate additional users with roles and permissions. You agree to provide accurate, current, and complete information and to keep that information up to date. You are responsible for:
- Maintaining the confidentiality of your account credentials, including passwords, two-factor codes, trusted devices, and any authentication tokens, sign-in codes, or portal links;
- All activities that occur under your account or under the accounts of your authorized users, whether or not authorized by you;
- Promptly notifying us at info@vifros.com of any actual or suspected unauthorized access to or use of your account; and
- Ensuring that each of your authorized users, and each customer or vendor contact you grant portal access to, complies with these Terms.
We are not liable for any loss or damage arising from your failure to safeguard your credentials or to comply with this Section. We may, but are not obligated to, suspend or disable credentials we reasonably believe have been compromised.
API keys, webhooks and connected apps. If you create API keys or webhook endpoints, or authorize a third-party application (for example an AI assistant connected through the Service's MCP or OAuth connection) to access your workspace, you are responsible for keeping keys and secrets confidential, for choosing the permissions, addresses and expiry you grant, and for everything done with them. Actions taken with your keys or by apps you authorize are treated as actions of your workspace. Data the Service sends to your webhook endpoints or to an app you authorize leaves the Service and is handled under that recipient's own terms. We may limit request rates, refuse requests, and suspend or revoke keys, webhooks or app connections to protect the Service, your data or other customers. The developer documentation published at /developers describes the current limits and behavior and may change.
5. Description of the Service
The Service is a multi-tenant, cloud-based accounting and bookkeeping platform that may include, among other features: invoicing, estimates, credit notes and recurring billing; expense, bill and purchase-order tracking; bank and card statement upload with automated extraction and reconciliation; a general ledger with journal entries and financial reports; tax preparation workspaces, W-9 collection and 1099 reporting; payroll records, pay stubs and check printing; document upload (including receipts forwarded to your workspace's receiving email address) with automated extraction of receipts and bills; an in-app assistant, scheduled briefings and other AI-assisted features; electronic signature of contracts; customer and vendor portals; email delivery of invoices, statements, receipts, pay stubs and reminders on your behalf; API keys, webhooks and connections to third-party applications; data import from third-party systems (including QuickBooks); data export and backups; and, where enabled, optional online card and ACH payment acceptance through a third-party payment processor. We may add, modify, or discontinue features of the Service from time to time. We do not warrant that any particular feature will be available at all times or in all plans or configurations.
6. Customer Data and Ownership
As between you and Vifros Corp, you retain all right, title, and interest in and to the financial records, business information, documents, contracts, and other data that you, your authorized users, or your customers and vendors through the portals upload to, generate within, or transmit through the Service ("Customer Data"). You own your Customer Data. Vifros Corp does not claim ownership of Customer Data and acts solely as a host and processor of Customer Data on your behalf.
You grant Vifros Corp a limited, non-exclusive, worldwide, royalty-free license to host, store, copy, transmit, display, process (including through automated and AI-assisted features), and otherwise use Customer Data solely as necessary to provide, maintain, secure, and support the Service, to prevent or address technical or security issues, to comply with law, and as otherwise permitted by these Terms and our Privacy Policy. You represent and warrant that you have all rights, consents, and authority necessary to provide Customer Data to the Service (including the personal information of your customers, vendors, contractors, and signers) and to grant the foregoing license, and that your Customer Data and its use through the Service do not violate any law or third-party right.
Sensitive information about other people. Some features ask you to store sensitive information about people other than you, such as taxpayer identification numbers (including Social Security numbers) collected through W-9 requests or entered for 1099 reporting, employees' pay and withholding details, and the bank account and routing numbers printed on your checks. You are responsible for collecting this information lawfully, for giving the people concerned any notice the law requires, for limiting access to it through the roles and permissions in the Service, and for using it only for legitimate business, tax and payroll purposes.
Emails sent on your behalf. Emails the Service sends for you (such as invoices, statements, receipts, reminders, payment notices and pay stubs) identify your business as the sender. Unless you turn it off in Settings → Email, they also include a small tracking image and tracked links that record whether and when each recipient opened the message or clicked a link, as described in the Privacy Policy. You are responsible for the content of those emails, for having a lawful basis to email each recipient, and for any notice to recipients that applies to you.
7. Acceptable Use and Prohibited Conduct
You agree not to, and not to permit any user or third party to:
- Use the Service in violation of any applicable law, regulation, or third-party right;
- Upload or transmit any material that is unlawful, infringing, fraudulent, or that contains viruses, malware, or other harmful code;
- Use the Service to store or process data for which you lack the necessary rights or consents;
- Access or attempt to access any account, workspace, portal, data, or system that you are not authorized to access, or interfere with the multi-tenant isolation of the Service;
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, underlying structure, or algorithms of the Service, except to the extent such restriction is prohibited by applicable law;
- Copy, modify, distribute, sell, sublicense, rent, lease, or create derivative works of the Service or any part of it;
- Probe, scan, or test the vulnerability of the Service, or breach or circumvent any security or authentication measure;
- Use the Service, including its email features, to send unsolicited communications or to engage in any abusive, deceptive, or malicious activity;
- Impose an unreasonable or disproportionately large load on the Service's infrastructure, or use automated means to access the Service in a manner that degrades performance; or
- Use the Service to develop a competing product or service.
We may investigate suspected violations and may suspend or terminate access for conduct we reasonably believe violates these Terms or harms the Service, other customers, or third parties.
8. Plans, Fees, Subscriptions and Usage Limits
Access to the Service or to certain features may require a paid plan, and some features carry usage-based allowances (for example for AI-assisted features). Fees are quoted and payable in U.S. dollars unless a plan states otherwise. Two additional documents form part of these Terms when they apply to you:
- the Subscription and Billing Terms, which govern paid Sumqo plans; and
- the Payments Terms, which govern accepting online payments for your invoices through Stripe, including the Sumqo fee on each online payment.
Paid plans renew automatically. When you subscribe to a paid plan, the plan, its price and the renewal period are shown to you before you pay. Unless the plan says otherwise, a paid plan renews every month on the same day of the month you subscribed (your billing anniversary) and the card or other payment method you gave is charged the then-current price at each renewal, until you cancel. You can cancel at any time in the Service from Settings → Plan (through the billing portal); cancelling stops the next renewal and you keep your plan until the end of the period you already paid for. Fees are non-refundable except as required by law or as expressly stated in the Subscription and Billing Terms.
Price changes. We will tell you by email at least thirty (30) days before a change to the recurring price of your paid plan takes effect. A new price applies from your first renewal after the notice period ends; if you do not agree, you may cancel before then and you will not be charged the new price.
Failed payments. If a renewal payment fails, we and our payment processor will retry it and tell you by email. If it is still unpaid after the grace period stated in the Service, your workspace moves to the Free plan and its limits apply. Your data is not deleted, and you can subscribe again at any time.
Taxes. Prices do not include taxes unless stated. You are responsible for all applicable sales, use and similar taxes, except taxes based on our net income; where we are required to collect a tax, it is shown before you pay.
Changes to plans. Sumqo is a new and evolving service. We may introduce, change, or discontinue plans, the features and allowances included in a plan, free-tier allowances, and the Sumqo fee on online payments. Changes to the recurring price of an active paid plan follow the price-change notice above; other changes apply to renewals and billing periods after the change. Nothing in the beta notice in Section 3 reduces your rights under this Section or under the Subscription and Billing Terms.
9. Third-Party Services
The Service relies on, integrates with, or may offer optional connections to third-party products and services, which may include, without limitation:
- Cloud hosting, storage, email delivery and AI models provided by Amazon Web Services (AWS), including Amazon SES for email and Amazon Bedrock for the AI-assisted features;
- Payment processing through Stripe, Inc. for optional online card and ACH payments, where that feature is enabled; and
- Data import from Intuit Inc. / QuickBooks for optional import of accounting data; and
- Connections you set up yourself, such as your own email server (SMTP) for sending, Slack, Microsoft Teams or Discord notifications, webhook endpoints, calendar feeds, and third-party applications (including AI assistants) you authorize to access your workspace.
Your use of any third-party service is subject to that third party's own terms of service and privacy policy, and you are responsible for reviewing and complying with them. Where you elect to use an optional integration (such as Stripe payments or QuickBooks import), you authorize the exchange of relevant data between the Service and that third party as necessary to provide the requested functionality. Vifros Corp does not control and is not responsible for the acts, omissions, availability, performance, accuracy, fees, or data practices of any third-party service, and disclaims all liability arising from your use of third-party services to the maximum extent permitted by law.
10. Not Professional Advice; No Accuracy Guarantee; AI and E-Signature Features
The Service is software only. It is not a substitute for, and does not constitute, professional accounting, bookkeeping, tax, financial, audit, or legal advice. Vifros Corp is not an accounting firm, tax preparer, registered agent, fiduciary, or law firm, and no accountant-client, attorney-client, or fiduciary relationship is created by your use of the Service.
Vifros Corp does not guarantee the accuracy, completeness, reliability, timeliness, or suitability of any calculation, categorization, extraction, reconciliation, suggestion, report, statement, tax figure, or other output generated by or through the Service, including outputs produced by automated or AI-assisted features such as the assistant, document extraction, categorization and matching suggestions, and insights. AI-assisted outputs are generated by machine-learning models, may be incomplete or wrong, and are provided for your convenience only. Records proposed by AI features are not entered into your books until a user reviews and confirms them, and you remain responsible for that review.
Electronic signature. The contracts feature lets you send documents for electronic signature and records the signing process. Vifros Corp does not draft, review, or guarantee the validity, enforceability, or legal effect of any document signed through the Service, nor the identity of any signer beyond the verification steps described in the Service. You are responsible for the content of your documents and for determining whether electronic signature is appropriate for them. Before signing, each signer is asked to agree to use electronic records and signatures; the Service records the signing steps (including the signer's verification, IP address, browser information and time stamps) in an audit trail and sends every party a copy of the completed document. Where a law requires specific disclosures or consent before records are provided electronically to a consumer (for example under the federal ESIGN Act), you are responsible for providing them.
You are solely responsible for the correctness of your books and records and for reviewing, verifying, and confirming all data, calculations, and outputs before relying on them. You are solely responsible for the preparation, accuracy, completeness, and timely filing of any tax return, financial statement, regulatory filing, or other submission, and for all decisions made based on information from the Service. You should consult a qualified professional advisor before making any accounting, tax, financial, or legal decision. To the maximum extent permitted by law, Vifros Corp disclaims all liability for any loss, penalty, interest, assessment, or damage arising from reliance on the Service or its outputs.
11. Disclaimer of Warranties
THE SERVICE AND ALL CONTENT, OUTPUTS, AND MATERIALS PROVIDED THROUGH IT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VIFROS CORP, ITS AFFILIATES, AND ITS LICENSORS AND SUPPLIERS DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
WITHOUT LIMITING THE FOREGOING, VIFROS CORP DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, THAT DEFECTS WILL BE CORRECTED, OR THAT ANY DATA WILL BE ACCURATE OR PRESERVED WITHOUT LOSS. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL VIFROS CORP, ITS AFFILIATES, OR ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, GOODWILL, BUSINESS, DATA, OR ANTICIPATED SAVINGS, OR FOR ANY TAX PENALTY, INTEREST, OR ASSESSMENT, ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE, WHETHER BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER THEORY, AND WHETHER OR NOT VIFROS CORP HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF VIFROS CORP AND ITS AFFILIATES ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES ACTUALLY PAID BY YOU TO VIFROS CORP FOR THE SERVICE DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US$100).
THE LIMITATIONS AND EXCLUSIONS IN THIS SECTION APPLY TO THE FULLEST EXTENT PERMITTED BY LAW AND FORM AN ESSENTIAL BASIS OF THE BARGAIN BETWEEN THE PARTIES. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
13. Indemnification
You agree to defend, indemnify, and hold harmless Vifros Corp, its affiliates, and their respective officers, directors, employees, agents, licensors, and suppliers from and against any and all claims, demands, actions, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your Customer Data or your use of the Service; (b) your violation of these Terms or any applicable law; (c) your violation of any third-party right, including any intellectual property or privacy right; (d) your tax filings, financial statements, contracts, or business decisions; or (e) any dispute between you and any of your customers, vendors, contractors, signers, advisors, or other third parties. We reserve the right, at your expense, to assume the exclusive defense and control of any matter subject to indemnification, in which case you agree to cooperate with us.
14. Suspension and Termination
You may stop using the Service and terminate your account at any time in accordance with the procedures we make available. We may suspend or terminate your access to all or part of the Service, with or without notice, if: (a) you breach these Terms; (b) your account is delinquent in payment; (c) we reasonably believe suspension or termination is necessary to protect the Service, other customers, or third parties, or to comply with law; or (d) we discontinue the Service or the beta program. We may also suspend access temporarily to address security, technical, or maintenance issues. If we terminate a workspace, we will email its owners. Termination of these Terms does not relieve you of any obligation to pay fees accrued before termination.
15. Effect of Termination; Data Export and Deletion
Upon termination or expiration of these Terms, your right to access and use the Service will cease. For thirty (30) days following termination (except where termination results from your material breach or where prohibited by law), we will make commercially reasonable efforts to allow you to export your Customer Data through the Service's export and backup features. After that period, the workspace is closed and its Customer Data is retained as described in the Privacy Policy; it is erased on request, and we complete a verified erasure request within thirty (30) days.
Deleting your workspace. A workspace owner can delete the workspace at any time from Settings → Workspace. Before a deletion can be scheduled, any paid plan must be cancelled (or set to end), open payment disputes must be closed, and the balance of any payment account Sumqo manages for you must be zero. The workspace then becomes read-only for thirty (30) days: you can still sign in, view and export everything, and any owner can cancel the deletion; we email the owners when the deletion is scheduled, a week before and the day before the last day. After the last day the workspace is closed: nobody can sign in to it, its pages and links (such as hosted invoices, portals and signing links) stop working, your team's access to it ends, and the owners receive a final email. At that time we also cancel any remaining Sumqo subscription; no new payments can be started on a payment account Sumqo manages for you, and a Stripe account you connected yourself stays yours. The workspace's data (its records, files, email and support history, audit trails and consent records) is retained while Vifros Corp keeps it as described in the Privacy Policy. An owner (or, where we act as a processor, the controlling customer) can ask us at info@vifros.com to restore the workspace or to permanently erase it. We complete a verified erasure request within thirty (30) days. Copies in our database backups expire on the schedule described in the Privacy Policy. You are responsible for exporting and retaining your own records. Sections that by their nature should survive termination (including ownership, disclaimers, limitation of liability, indemnification, dispute resolution, and governing law) will survive.
16. Intellectual Property; Feedback
The Service, including all software, source code, object code, designs, user interfaces, text, graphics, logos, trademarks, documentation, and all related intellectual property rights, is and remains the exclusive property of Vifros Corp and its licensors. "Sumqo," "Vifros Corp," and associated logos are trademarks or trade names of Vifros Corp. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for your internal business purposes during the term. No rights are granted to you other than as expressly set out in these Terms, and all rights not expressly granted are reserved. If you provide any feedback or suggestions regarding the Service, including during the beta program, you grant us a perpetual, irrevocable, royalty-free license to use them without restriction or obligation to you.
17. Confidentiality
Each party may have access to the other party's non-public, proprietary, or confidential information ("Confidential Information"). Each party agrees to use the other's Confidential Information only as necessary to perform under these Terms, to protect it using at least reasonable care, and not to disclose it to third parties except to those who need to know and who are bound by confidentiality obligations at least as protective as these. Confidential Information does not include information that is or becomes public through no fault of the receiving party, was rightfully known without confidentiality obligation, or is independently developed. A party may disclose Confidential Information as required by law, provided it gives reasonable prior notice where legally permitted. Our handling of Customer Data is further governed by the Privacy Policy.
18. Modifications to the Terms and the Service
We may modify these Terms from time to time. If we make material changes, we will provide notice through the Service, by email, or by other reasonable means, and will update the "Effective date" and version above. Changes become effective as of the date stated in the notice. Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must stop using the Service. We may also modify, suspend, or discontinue all or part of the Service at any time, with notice where reasonably practicable.
19. Assignment
You may not assign or transfer these Terms or any rights or obligations under them, by operation of law or otherwise, without our prior written consent, and any attempted assignment in violation of this Section is void. We may assign these Terms, in whole or in part, without restriction, including in connection with a merger, acquisition, reorganization, or sale of assets. These Terms bind and inure to the benefit of the parties and their permitted successors and assigns.
20. Governing Law and Dispute Resolution
Governing law. These Terms and any dispute arising out of or relating to them or the Service are governed by and construed in accordance with the laws of the State of Florida, USA, without regard to its conflict-of-laws principles.
Notice of dispute and informal resolution. Before starting any formal proceeding, the party raising a dispute must send the other a written Notice of Dispute describing the nature of the claim and the relief sought. Notices to Vifros Corp must be sent by email to info@vifros.com or by fax to (904) 592-5384; notices to you will be sent to the email address on your account. The parties will try in good faith to resolve the dispute informally for thirty (30) days after the notice is received.
Binding arbitration. If the dispute is not resolved within that period, it will be resolved by final and binding individual arbitration administered by the American Arbitration Association under its rules then in effect, before a single arbitrator, in Duval County, Florida, or by video conference if the parties agree. The arbitrator may award the same relief a court could award to the individual party. Judgment on the award may be entered in any court of competent jurisdiction. Either party may instead bring an individual claim in small-claims court if it qualifies, and either party may seek injunctive relief in court to protect its intellectual property or the security of the Service.
Class-action waiver. To the fullest extent permitted by law, disputes must be brought on an individual basis only; class, collective, consolidated, or representative proceedings are not permitted, and the arbitrator may not consolidate more than one party's claims.
Venue for court proceedings. For any matter that is not subject to arbitration, the state and federal courts located in Duval County, Florida will have exclusive jurisdiction and venue, and each party consents to the personal jurisdiction of those courts. To the extent permitted by law, any claim arising out of or relating to these Terms or the Service must be brought within one (1) year after the claim accrues.
21. Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, or if it cannot be so modified, it will be severed, and the remaining provisions will continue in full force and effect. If the class-action waiver is found unenforceable as to a particular claim, that claim will proceed in court rather than in arbitration.
22. Entire Agreement; Miscellaneous
These Terms, together with the Privacy Policy, the Subscription and Billing Terms (when you have a paid plan), the Payments Terms (when you accept online payments), the beta notice you acknowledged, and any order or plan documents expressly incorporated by reference, constitute the entire agreement between you and Vifros Corp regarding the Service and supersede all prior or contemporaneous agreements, proposals, and understandings, whether written or oral, on that subject. No failure or delay by either party in exercising any right under these Terms will constitute a waiver of that right. There are no third-party beneficiaries to these Terms except as expressly stated. Headings are for convenience only and do not affect interpretation. Neither party will be liable for any failure or delay in performance (other than payment obligations) due to causes beyond its reasonable control.
